Acceptance of Terms

By accessing or using Neurata ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a brokerage or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use the Service.

Description of Service

Neurata is a strata management platform designed to assist property management professionals in British Columbia, Canada. The Service includes:

Neurata is not a legal service and does not provide legal advice. Minutes, motions, and decisions generated through the platform should be reviewed by qualified professionals where appropriate.

Eligibility and Accounts

To use Neurata, you must be a licensed real estate professional registered with the BC Financial Services Authority (BCFSA), or an authorized employee or assistant of a licensed brokerage.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@neurata.ai of any unauthorized access.

Accounts are non-transferable. You may not share your credentials with others or allow multiple individuals to use a single account.

Subscriptions and Billing

Neurata offers paid subscription services billed in Canadian dollars (CA$) and subject to applicable taxes including GST. Current pricing is listed on the Subscription page within the platform and at neurata.ai. Neurata reserves the right to change pricing with 30 days written notice to active subscribers. Price changes take effect at the subscriber's next annual renewal — existing subscribers will not have their pricing changed mid-term.

All subscriptions are annual commitments (12 months), paid monthly on the first day of each month, in advance for that month. When a subscription is activated mid-month, a prorated charge for the remaining days of that month is collected immediately — this partial month does not count toward the 12-month commitment. The commitment term begins on the 1st of the first full billing month and expires 12 months later. If a subscription is cancelled, access to the platform continues until the end of the 12-month commitment period.

Payment is collected via pre-authorized debit (ACSS) or credit card through our payment processor, Stripe. By providing payment information, you authorize Neurata to charge your payment method on the applicable billing dates. A valid payment method must remain on file for the duration of any active subscription. You may update your payment method at any time, but you may not remove a payment method without replacing it with another valid payment method while a subscription remains active.

All prices are in Canadian dollars and are subject to applicable taxes. GST (5%) is added to all charges for Canadian customers.

Annual Commitment

Subscriptions are made on an annual commitment, billed monthly. When you activate a subscription, you are committing to a minimum term of twelve (12) months from the activation date.

You may cancel or downgrade your subscription at any time, but such changes will take effect at the end of your current annual commitment period. You will continue to be billed at your current rate until the commitment period ends.

Upgrading from Local StrataSphere to Global StrataSphere takes effect immediately. A prorated charge for the current month will be collected at the time of upgrade, and full Global StrataSphere rates will apply from the next billing date.

Neurata reserves the right to waive or modify commitment terms on a case-by-case basis during the early access period.

You agree not to use the Service to:

Intended Use

The Service is provided solely for the purpose of assisting licensed strata management professionals and authorized brokerage staff in administering strata corporations in British Columbia, Canada. You agree to use the Service only for its intended purpose as described in these Terms and in accordance with all applicable laws and professional regulations.

Any use of the Service outside its intended purpose — including but not limited to using the platform for personal, non-commercial, or non-strata-management purposes — is strictly prohibited. Neurata reserves the right to determine, in its sole discretion, whether any use falls outside the intended purpose and to suspend or terminate access accordingly.

You agree that you will not, and will not permit any third party to:

Any breach of this section shall constitute a material breach of these Terms and may result in immediate termination of your account without refund and without prejudice to any other remedies available to Neurata.

Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms.

All data is stored on servers located in Canada. Neurata complies with the Personal Information Protection Act (PIPA) of British Columbia and the Personal Information Protection and Electronic Documents Act (PIPEDA).

You retain ownership of all data you upload to the platform, including meeting minutes, decisions, and documents. Neurata does not sell your data to third parties.

By using StrataSphere, you acknowledge that strata corporation data — including historical decisions and governance records — may be used to generate AI-assisted responses. All such queries are processed in compliance with applicable privacy legislation.

Aggregate Insights. Neurata may generate and commercialize anonymized, aggregated statistical insights derived from platform usage across its customer base. These insights do not contain personal information, are not traceable to any individual strata corporation, owner, or user, and do not include the content of any documents, minutes, decisions, or communications. This is separate from your data, which remains yours. If you would prefer not to be included, contact privacy@neurata.ai.

Data Retention and Integrity. Strata corporation records including meeting minutes, agendas, motions, decisions, financial documents, and owner roster data are records of the strata corporation itself — not personal information of individual users. Neurata retains these records in accordance with the record-keeping requirements of the Strata Property Act (BC) and for the legitimate business purposes of maintaining data integrity and continuity of service for the strata corporation. Upon cancellation or termination of a brokerage account, strata corporation records are retained for a minimum of 7 years in accordance with standard strata management practice. Personal information of individual users (names, email addresses, login credentials) may be deleted upon a valid PIPEDA request, subject to our ability to retain information required by law or for the resolution of disputes. You may request a full export of your strata corporation data at any time by contacting support@neurata.ai. Neurata is not responsible for data loss resulting from user-initiated deletions.

Access Requests & Privacy Rights. Under PIPA, individuals have the right to access, correct, and request deletion of their personal information. Contact privacy@neurata.ai. Neurata will respond within 30 days. You may file a complaint with the Office of the Information and Privacy Commissioner for BC.

Intellectual Property

The Neurata platform, including its software, source code, design, trademarks, trade secrets, and content, is owned by Neurata and protected by applicable intellectual property laws including Canadian copyright, trademark, and trade secret law. No rights in the platform are granted to you other than the limited right to use the Service in accordance with these Terms. The restrictions in Section 6b apply to all intellectual property embodied in the Service.

Minutes, motions, and other documents generated through the platform based on your input remain your property. Neurata claims no ownership over content you create using the Service.

AI-Generated Content

Neurata uses artificial intelligence to assist with meeting minutes generation, agenda parsing, and governance intelligence. You acknowledge that:

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Neurata does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by applicable law, Neurata shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, loss of revenue, or failure to meet compliance obligations.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to Neurata in the three (3) months preceding the claim.

Termination

You may terminate your account at any time by contacting support@neurata.ai. Termination does not relieve you of your annual commitment obligations as described in Section 5. Upon termination, you may request an export of your data within 30 days. Strata corporation records will be retained by Neurata for a minimum of 7 years following termination in accordance with the Strata Property Act and standard strata management practice, and may be made available to the strata corporation or its successor manager upon request. Personal user information will be handled in accordance with Section 7 (Data and Privacy).

Neurata may terminate or suspend your account immediately, without notice, for violation of these Terms, non-payment, or conduct that we determine to be harmful to the platform or other users.

Upon termination, your right to access the Service ceases immediately. You may request an export of your data within 30 days of termination.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.

Changes to Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page with an updated effective date and notify active users by email at least 14 days before material changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
